1. Scope
1.1 These Terms and Conditions apply to all sales, deliveries and other services provided by Maitron LimeSafe LLC (“Maitron”) relating to Maitron® limescale protection units and accessories (“Products”).
1.2 These Terms and Conditions apply in particular to orders placed through the partner online shop, by email, by phone or by any other means, unless Maitron has expressly agreed otherwise in writing.
1.3 The partner online shop is intended exclusively for businesses, installation companies, professional partners, resellers, legal entities and other business customers approved by Maitron (“Customer”). Sales to private consumers through the partner shop are excluded.
1.4 Any conflicting or deviating terms and conditions of the Customer shall only apply if Maitron has expressly agreed to them in writing. Otherwise, these Terms and Conditions shall take precedence over any purchasing or ordering terms of the Customer.
1.5 Maitron may amend these Terms and Conditions at any time. The version valid at the time of the order shall apply.
2. Partner Account and Access to the Online Shop
2.1 Orders in the partner online shop generally require a customer account approved by Maitron.
2.2 The Customer is obliged to keep all information provided during registration and use of the partner account complete, up to date and accurate.
2.3 Access credentials must be treated confidentially and protected against unauthorized access. Orders placed using the Customer’s access credentials shall be deemed to have been initiated by the Customer, unless the Customer proves that the credentials were misused despite proper care.
2.4 Maitron is entitled to reject registrations without stating reasons, block or delete partner accounts and restrict ordering options, payment methods or credit limits.
3. Prices, Offers and Technical Information
3.1 Unless expressly stated otherwise, all prices are quoted in US dollars (USD), excluding applicable sales tax, use tax, duties, customs charges, shipping, packaging, handling, surcharges, testing, certification and insurance costs. Applicable taxes may be calculated and charged based on the delivery address and applicable law.
3.2 Price lists, brochures, product illustrations, technical data sheets and price information in the online shop are provided for information purposes only and are non-binding. Obvious errors, typing errors, display errors or calculation errors are reserved.
3.3 Maitron may change prices at any time. The price applicable to an order shall be the price stated in Maitron’s separate order confirmation or, if no such confirmation is issued, in the shipping confirmation or invoice.
3.4 Unless otherwise stated, offers issued by Maitron are valid for 7 calendar days from the date of issue.
3.5 Offers, project prices, partner prices and individual conditions are confidential and may not be disclosed to third parties without Maitron’s prior written consent.
3.6 Information contained in brochures, price lists, technical documents, websites or the online shop regarding efficiency, areas of application, savings effects, service life, replacement intervals, practical experience, installation numbers or comparable performance characteristics is descriptive in nature. Such information shall only constitute a guaranteed property or binding quality agreement if Maitron has expressly confirmed it as binding in writing in the individual case.
3.7 Product performance may vary depending on water quality, plumbing condition, installation, sizing, water consumption, operating conditions and maintenance of the overall plumbing system. No specific savings, reduction percentage or performance result is guaranteed unless expressly confirmed by Maitron in writing for the individual project.
4. Orders and Conclusion of Contract
4.1 The presentation of Products in the partner online shop does not constitute a binding offer by Maitron, but an invitation to the Customer to place a binding order.
4.2 By completing the order process, in particular by clicking the corresponding order button in the online shop, the Customer submits a binding offer to purchase the selected Products.
4.3 An automatically generated order receipt or order confirmation by email merely confirms receipt of the order and does not yet constitute acceptance of the offer.
4.4 The contract is only concluded upon express written order confirmation by Maitron or upon dispatch or delivery of the ordered Products.
4.5 If immediate payment is triggered or a payment is authorized during the order process, this alone does not constitute acceptance of the contract. If no contract is concluded, any payment already made shall be refunded or any authorization shall be cancelled accordingly.
4.6 Maitron is entitled to reject orders in whole or in part, in particular in the event of lack of availability, pricing errors, unclear information, outstanding claims, lack of creditworthiness or exceeding internal credit limits.
4.7 Changes to or cancellations of orders after they have been placed require Maitron’s written consent. Maitron is not obliged to agree to any change or cancellation.
5. Payment Terms
5.1 Maitron offers the Customer the payment methods shown in the order process, offer or order confirmation. These may include immediate payment or purchase on invoice.
5.2 There is no entitlement to purchase on invoice. Maitron may make invoicing dependent at any time on a credit check, an existing partner relationship, a credit limit, advance payment, partial advance payment or other security.
5.3 In the case of immediate payment, the invoice amount is due immediately upon conclusion of the contract or according to the payment process.
5.4 In the case of purchase on invoice, the payment term shall be 30 calendar days from the invoice date without deduction, unless otherwise agreed.
5.5 Maitron may invoice partial deliveries separately.
5.6 The Customer is not entitled to offset claims of Maitron against its own counterclaims unless such counterclaims have been legally established or acknowledged by Maitron in writing.
5.7 In the event of late payment, the Customer shall be in default without reminder and shall owe default interest of 5% per year.
5.8 In addition, Maitron may charge reasonable reminder, collection, enforcement, attorney and other recovery costs, but at least USD 30 per reminder and USD 50 for formal collection or enforcement action.
5.9 If there are doubts about the Customer’s solvency or if payment default occurs, Maitron may suspend further deliveries, deliver only against advance payment or withdraw from the contract.
6. Delivery, Partial Deliveries and Delivery Times
6.1 Delivery times and availability information are generally non-binding unless Maitron has expressly confirmed them as binding in writing.
6.2 Maitron is entitled to make partial deliveries and partial performance, provided this is reasonable for the Customer.
6.3 In the event of delivery delays, in particular due to production bottlenecks, transport problems, import restrictions, force majeure or other circumstances for which Maitron is not responsible, delivery times shall be extended appropriately.
6.4 If a non-bindingly communicated delivery time is significantly exceeded by more than 30 calendar days, the Customer may withdraw from the not yet fulfilled part of the contract after setting a written grace period of at least 10 calendar days. Payments already made for the affected undelivered part shall be refunded. Further claims are excluded to the extent permitted by law.
6.5 Maitron will use commercially reasonable efforts to ship Products within the delivery time stated in the order confirmation. If no delivery time is stated, Maitron will comply with the shipment, delay notice and refund requirements applicable to mail, internet or telephone orders under applicable law.
7. Transfer of Risk, Shipping and Inspection
7.1 Benefits and risks pass to the Customer when the Products are handed over to the carrier, freight forwarder or other person designated to carry out the shipment.
7.2 This also applies if Maitron assumes the shipping costs or if freight-free delivery has been agreed.
7.3 The Customer must inspect the Products immediately upon receipt for correctness, completeness and externally visible damage.
7.4 Visible transport damage must be reported immediately to the carrier and additionally reported to Maitron in writing within 5 calendar days. Hidden defects must be reported in writing immediately after discovery, but no later than within 5 calendar days.
8. Retention of Title
8.1 The delivered Products remain the property of Maitron until all claims arising from the business relationship have been paid in full.
8.2 Maitron is entitled to register a retention of title or equivalent security interest to the extent necessary to secure its claims.
8.3 In the event of late payment, Maitron is entitled, after setting a reasonable grace period, either to insist on performance or to withdraw from the contract and demand return of the delivered Products.
9. Returns, Exchange and Take-Back
9.1 Any exchange or take-back of Products requires Maitron’s prior written consent.
9.2 Returns may only be accepted for unused, flawless and complete Products in their original packaging.
9.3 In particular, used, damaged or incomplete Products, Products without original packaging, operating instructions or accessories, as well as specially ordered, configured or custom-procured Products, are excluded from exchange or return.
9.4 In the event of an exceptionally approved return without equivalent exchange, Maitron may charge a handling fee of 30% of the goods value, but at least USD 300.
9.5 If Maitron agrees to a cancellation before shipment, Maitron may charge a handling fee of 10% of the order value, but at least USD 100.
10. Warranty
10.1 Unless otherwise agreed in writing or expressly provided in a separate warranty statement, the contractual warranty period is 2 years from delivery.
10.2 Warranty claims require that the Customer has properly inspected the goods and notified defects in writing within the applicable time limit.
10.3 In the case of timely reported and justified defects, Maitron shall decide at its own discretion whether to repair, replace, grant an appropriate reduction or reverse the contract.
10.4 Further claims by the Customer, in particular claims for damages, removal and installation costs, business interruption, consequential damages, lost profits or third-party claims, are excluded to the extent permitted by law.
10.5 Additional guarantees, in particular functional, performance or durability guarantees beyond the warranty period, shall only exist if Maitron expressly provides them in a separate written warranty statement. References in brochures, price lists, product information or the online shop to service life, long-term function, replacement intervals, maintenance-free operation or practical experience do not in themselves constitute an independent guarantee.
11. Conditions and Exclusions of Warranty and Guarantee
11.1 Warranty and any guarantees exclude, in particular, damage or complaints resulting from natural wear and tear, improper storage, handling or commissioning, incorrect or non-professional installation, external influence, manipulation, modifications or repairs by third parties, incorrect sizing or use outside the intended operating data, as well as removal or damage to product markings, type plates, warranty labels or other identification features.
11.2 Warranty and any guarantees require, in particular, that installation has been carried out by a qualified person in accordance with Maitron’s applicable installation, product and system specifications. This includes, in particular, compliance with installation guidelines, the prescribed installation sequence, a suitable fine filter, the required backflow prevention, the permitted connection method, the intended position of the unit, proper flushing before commissioning and all other requirements according to the technical documentation.
11.3 It shall not constitute a product defect if, after commissioning in existing installations, limescale, rust or corrosion deposits are initially loosened, faucet aerators or screens become temporarily clogged, the water is temporarily slightly cloudy or previously hidden weak points become visible in already damaged pipes. Such accompanying effects, to the extent they are attributable to the condition of the existing installation and the gradual removal of existing deposits, shall not be deemed material defects of the Product.
11.4 Maintenance-free means that no periodic regeneration, cartridge replacement or regular service work is required during ongoing operation. Recommended inspections as well as renewal of granulate, internal parts or other components after a longer period of operation in accordance with the applicable product documentation remain unaffected.
12. Warranty Disclaimer
12.1 Except as expressly set forth in a written warranty statement provided by Maitron, and to the maximum extent permitted by applicable law, Maitron disclaims all other warranties, express or implied, including any implied warranties of merchantability and fitness for a particular purpose.
13. Liability
13.1 Maitron shall only be liable for damages caused by intentional or grossly negligent breach of duty.
13.2 Liability for slight negligence, indirect damages, consequential damages, lost profits, production downtime, loss of use, reputational damage, third-party claims and other financial losses is excluded to the extent permitted by law.
13.3 Mandatory statutory liability remains unaffected, in particular for unlawfully caused personal injury and for claims that cannot be excluded under mandatory product liability law.
14. Data Protection
14.1 Maitron processes the Customer’s personal data for contract initiation, contract execution, delivery, invoicing, credit checks, maintenance of the business relationship, customer support and protection of legitimate interests.
14.2 Further information on the processing of personal data is contained in Maitron’s separate Privacy Policy in its applicable version.
15. Confidentiality
15.1 The parties shall treat all commercial, technical and organizational information from the business relationship that is not generally known as confidential.
15.2 This obligation applies before conclusion of the contract and remains in force after termination of the business relationship.
16. Severability
16.1 If individual provisions of these Terms and Conditions are or become invalid or unenforceable in whole or in part, this shall not affect the validity of the remaining provisions.
16.2 The parties undertake to replace the invalid provision with a legally permissible provision that comes as close as possible to the economic purpose of the invalid provision.
17. Applicable Law and Jurisdiction
17.1 These Terms and all orders, deliveries and disputes arising out of or in connection with them shall be governed by the laws of the State of Oklahoma, without regard to conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
17.2 To the extent permitted by law, the courts located in Oklahoma County, Oklahoma, shall have exclusive jurisdiction for all disputes arising out of or in connection with these Terms, orders or deliveries.
